Partner Agreement

This agreement sets out the terms for professionals and partners who deliver services through the Sanjivani Care platform.

This Partner Agreement ("Agreement") governs the relationship between Sanjivani Care ("Company", "we", "our", or "us") and every independent healthcare professional, healthcare institution, pharmacy, laboratory, ambulance provider, medical equipment supplier, caregiver, or any other service provider ("Partner") who provides services through the Sanjivani Care platform.

By registering as a Partner or accepting bookings through the platform, you acknowledge that you have read, understood, and agreed to this Agreement.

1. Eligibility & Registration

To become a Partner, you must:

  • Deliver care and services professionally, ethically and in line with applicable medical standards
  • Maintain all applicable professional licenses, registrations, certifications, and statutory approvals.
  • Successfully complete Sanjivani Care's verification and onboarding process.
  • Provide accurate, complete, and up-to-date information at all times.

Providing false or misleading information may result in immediate suspension or termination.

2. Verification Requirements

Partners may be required to submit:

  • Government-issued identity proof
  • Address proof
  • Educational qualifications
  • Professional licenses or registrations
  • Experience certificates
  • Police verification (where applicable)
  • Other documents requested during onboarding

Sanjivani Care reserves the right to conduct periodic re-verification of credentials throughout the partnership.

3. Partner Responsibilities

Partners agree to:

  • Deliver healthcare services professionally, ethically, and compassionately.
  • Follow all applicable medical, legal, and professional standards.
  • Maintain punctuality and honor accepted bookings.
  • Treat every patient with dignity, respect, and confidentiality.
  • Maintain appropriate hygiene and infection-control practices.
  • Use the Sanjivani Care platform only for authorized purposes.
  • Complete all required documentation accurately.
  • Promptly report adverse incidents, emergencies, or patient safety concerns.

4. Clinical Responsibility

Healthcare professionals remain solely responsible for:

  • Clinical assessment
  • Medical diagnosis
  • Treatment decisions
  • Prescriptions
  • Patient counselling
  • Medical procedures
  • Professional judgment

Sanjivani Care provides a technology platform for booking, coordination, and service management and does not interfere with independent clinical decision-making.

5. Service Quality Standards

Partners are expected to maintain consistently high service standards.

This includes:

  • Professional conduct
  • Timely communication
  • Patient safety
  • Ethical practices
  • Compliance with treatment protocols
  • Accurate reporting
  • Positive patient experience

Repeated quality concerns or poor patient feedback may result in suspension or termination.

6. Confidentiality & Data Protection

Partners shall maintain strict confidentiality of all:

  • Patient information
  • Medical records
  • Personal information
  • Booking details
  • Platform data
  • Business information

Patient information may only be used for delivering authorized healthcare services.

Confidentiality obligations continue even after termination of this Agreement.

7. Payments & Earnings

Partners will receive payments based on successfully completed and verified bookings.

Payment schedules, payout cycles, commission structures, and applicable deductions will be communicated separately through the platform or partner dashboard.

Partners are responsible for complying with applicable tax laws and reporting requirements.

8. Platform Commission

Sanjivani Care retains a platform service fee or commission for facilitating bookings, technology infrastructure, customer support, verification, marketing, payment processing, and operational services.

Applicable commission rates will be communicated transparently before accepting bookings.

The Company reserves the right to revise commission structures with prior notice.

9. Compliance with Laws

Partners agree to comply with all applicable:

  • Laws and regulations
  • Medical Council guidelines
  • Nursing Council regulations
  • Pharmacy regulations
  • Clinical establishment requirements
  • Data protection laws
  • Consumer protection laws
  • Healthcare industry standards

Failure to comply may result in immediate suspension or legal action.

10. Independent Contractor Relationship

Partners acknowledge that they operate as independent service providers.

Nothing contained in this Agreement creates:

  • Employment
  • Partnership
  • Joint venture
  • Agency relationship

Partners remain responsible for:

  • Their professional conduct
  • Clinical decisions
  • Professional indemnity insurance (where applicable)
  • Taxes
  • Statutory obligations

unless otherwise agreed under a separate written employment contract.

11. Suspension & Termination

Sanjivani Care may suspend or terminate a Partner's account immediately in cases including, but not limited to:

  • Fraud or misrepresentation
  • Expired professional registration
  • Patient safety concerns
  • Criminal misconduct
  • Breach of confidentiality
  • Poor service quality
  • Ethical violations
  • Repeated cancellations or no-shows
  • Violation of platform policies

Partners may also discontinue participation by providing reasonable written notice, subject to completion of ongoing patient care obligations.

12. Intellectual Property

All trademarks, logos, branding, software, technology, designs, content, and proprietary materials belonging to Sanjivani Care remain the exclusive property of the Company.

Partners shall not reproduce, modify, distribute, or use Company intellectual property without prior written permission.

13. Limitation of Liability

Sanjivani Care shall not be liable for:

  • Independent clinical decisions
  • Professional negligence
  • Medical complications
  • Patient-specific outcomes
  • Regulatory violations committed by Partners
  • Losses resulting from inaccurate information submitted by Partners

Each Partner remains fully responsible for services personally delivered.

14. Dispute Resolution

Any dispute arising under this Agreement shall first be resolved through good-faith discussions between the Parties.

If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The seat of arbitration shall be New Delhi, India.

This Agreement shall be governed by the laws of the Republic of India, and courts located in New Delhi shall have exclusive jurisdiction where applicable.

15. Amendments

Sanjivani Care reserves the right to modify or update this Agreement from time to time.

Revised versions will be published on the platform with an updated "Last Updated" date.

Continued use of the platform after such updates constitutes acceptance of the revised Agreement.
